Retail Sale Terms & Conditions

These Retail Terms &Conditions ("Terms") apply to all retail customers("Customer", "you") purchasing bespoke pergola products andassociated goods ("Products") from SOLA Pergolas Ltd ("we","us", "our"). By placing an order, paying an invoice, orsigning approval drawings, you confirm that you have read, understood, andagreed to these Terms.

1. Quotations & Pricing

1.1 All quotations are valid for14 days unless stated otherwise in writing.

1.2 Prices are based on currentmaterial, manufacturing, and freight costs and may be revised prior to orderacceptance.

1.3 Unless expressly stated,prices exclude delivery, installation, groundworks, electrical works, drainage,planning permission, building control approval, and any associated professionalfees.

1.4 All bespoke products arepriced on a project-specific basis and may not be directly comparable toprevious quotations, even where specifications appear similar.

2. Orders & SpecificationApproval

2.1 All orders are subject towritten acceptance by us.

2.2 Prior to manufacture, you willbe issued with final drawings and specifications ("ApprovalDrawings") detailing dimensions, colours, finishes, accessories, fixingmethods, and layout.

2.3 You are responsible forcarefully checking and approving all Approval Drawings.

2.4 Once written approval is provided, theorder is deemed final. Changes requested after approval may not be possibleand, where agreed, may incur additional costs and extended lead times.

3. Bespoke & Made-to-OrderProducts

3.1 All pergolas are manufacturedto order.

3.2 As the Products are bespoke,orders are non-cancellable and non-refundable once accepted and scheduled formanufacture.

4. Payment Terms

4.1 Unless otherwise agreed inwriting, payment in full (100%) is required upon order confirmation.

4.2 No order will be processed,manufactured, or scheduled without cleared funds.

4.3 Payment of an invoiceconstitutes acceptance of these Terms in full.

5. Lead Times

5.1 Quoted lead times areestimates only and are subject to manufacturing capacity, shipping schedules,customs clearance, and events outside our reasonable control.

5.2 Delays do not automaticallyentitle you to cancel the order or claim compensation.

5.3 Where a lead time exceeds 26weeks, and the delay is solely attributable to manufacturer timescalenegligence, a refund may be authorised upon request. Any refund will beprocessed only after funds are returned to us by the manufacturer.

5.4 No claims shall arise fromdelays caused by events including (but not limited to) Acts of God, war,political events, industrial action, port disruption, or global supply chaininterruption.

6. Delivery & Risk

6.1 Delivery dates are estimatesuntil the Products are in the distributor’s control.

6.2 Risk in the Products passes toyou upon delivery to site or upon completion of installation (whereinstallation is provided by us), whichever occurs first.

6.3 You are responsible forensuring suitable site access, offloading capability, and secure on-sitestorage.

6.4 Any visible damage, shortages,or discrepancies must be reported to us in writing within 48 hours of delivery,supported by clear photographs.

7. Installation

7.1 Where installation isarranged, it must be carried out strictly in accordance with our installationguidelines by trained SOLA approved installers.

7.2 We accept no liability forfailures arising from:

  • Incorrect installation by third parties
  • Inadequate foundations or ground preparation
  • Poor drainage or water management
  • Failure to comply with building regulations or site-specific requirements

8. Planning, Regulations &Site Responsibility

8.1 You are responsible fordetermining whether planning permission, building control approval, landlordconsent, or any other statutory approval is required.

8.2 Compliance with localauthority requirements, restrictive covenants, and site conditions remains yourresponsibility.

8.3 We do not accept liability forenforcement action or costs arising from failure to obtain requiredpermissions.

9. Structural Ratings & Use

9.1 Any stated wind, snow, or loadratings are based on standard UK/EU test results and correct installation.

9.2 Structural ratings may beaffected by exposure, altitude, coastal conditions, and surrounding structures.

9.3 Products must be used inaccordance with operating guidelines. Side screens/accessories must be openedin high winds or snow conditions where specified.

10. Warranty

10.1 Products are supplied with amanufacturer-backed warranty, details of which are provided at orderconfirmation or upon request.

10.2 Warranty validity isconditional upon:

  • Full payment being received
  • Correct installation in accordance with guidelines
  • Normal residential use

10.3 Warranty excludes:

  • Damage caused by misuse, abuse, modification, or neglect
  • Damage caused by extreme weather events beyond rated limits
  • Cosmetic changes due to natural ageing and environmental exposure

11. Consumer Rights &Returns

11.1 As Products are bespoke, theConsumer Contracts (Information, Cancellation and Additional Charges)Regulations 2013 right to cancel does not apply.

11.2 This does not affect yourstatutory rights in respect of faulty or misdescribed goods under the ConsumerRights Act 2015.

11.3 Any defect claims must benotified to us in writing within 7 days of discovery.

11.4 Our liability is limited torepair or replacement of the affected component only.

12. Intellectual Property

12.1 All drawings, renders,specifications, images, and marketing materials remain our intellectualproperty.

12.2 These materials must not becopied, altered, or reused without our written consent.

12.3 Our brand names, productnames, and imagery must not be used in a misleading or unauthorised manner.

13. Limitation of Liability

13.1 We shall not be liable forindirect or consequential losses, including loss of enjoyment, profit, orbusiness opportunity.

13.2 Our total liability under anyorder shall not exceed the value of the Products supplied under that order,except where liability cannot be limited by law.

14. Termination & Refusalof Supply

14.1 We reserve the right torefuse or cancel an order prior to manufacture where there is:

  • Breach of these Terms
  • Non-payment
  • Misrepresentation
  • Circumstances that present a reputational, legal, or safety risk

15. Governing Law

15.1 These Terms are governed byand construed in accordance with the laws of England and Wales.

15.2 Any disputes shall be subjectto the exclusive jurisdiction of the courts of England and Wales.
