These Trade Terms & Conditions("Terms") apply to all trade customers ("Trade Partner","you") purchasing bespoke pergola products and associated goods("Products") from SOLA Pergolas Ltd ("we", "us","our"). By placing an order, you confirm that you have read,understood, and agreed to these Terms.
1. Trade Account Status
1.1 Trade pricing is availableonly to approved Trade Partners. Approval is at our sole discretion and may bewithdrawn at any time.
1.2 Trade accounts arenon-transferable and must not be used by third parties without written consent.
1.3 We reserve the right toreclassify or suspend a trade account where misuse, misrepresentation, orbreach of these Terms is identified.
2. Quotations & Pricing
2.1 All quotations are valid for14 days unless stated otherwise.
2.2 Prices are based on currentmaterial, manufacturing, and freight costs. We reserve the right to amendpricing prior to order confirmation.
2.3 All prices are exclusive ofVAT, delivery, installation, groundworks, electrical works, and any localauthority approvals unless explicitly stated.
2.4 Bespoke products are priced ona specific basis and may not be directly comparable to previous quotations,even for similar or the same specifications.
3. Orders & SpecificationSign-Off
3.1 All orders must be confirmedin writing and are subject to acceptance by us.
3.2 Final specifications,drawings, colours, finishes, dimensions, accessories, and fixing methods mustbe approved by the Trade Partner prior to manufacture via a signed ApprovalDrawing sent upon order.
3.3 Once written sign-off isprovided, the order is deemed final and cannot be amended without writtenagreement. Amendments may incur additional costs and lead time extensions.
4. Bespoke & Made-to-OrderProducts
4.1 All pergolas are manufacturedto order. As such, orders are non-cancellable and non-refundable once the orderhas been accepted and planned for by the factory.
4.2 Payment in full is requiredprior to an order being processed. By paying an invoice for an order you areconfirming you have read and adhere to these terms and conditions in full.
5. Lead Times
5.1 Quoted lead times areestimates only and are subject to supplier capacity, shipping schedules,customs clearance, and force majeure events.
5.2 Delays do not entitle theTrade Partner to cancel the order or claim consequential losses.
5.3 Should an order lead timesurpass 26 weeks, if requested, a refund will be authorised on the grounds ofmanufacturer timescale negligence. This refund will be processed upon thereturn of the funds from the factory.
5.4 Exclusions to any claimsinclude Acts of God, War and Political Events
6. Payment Terms
6.1 Unless otherwise agreed inwriting, payment terms are as follows:

6.3 Late payments may result indelayed production, withheld dispatch, suspension of trade terms, or accounttermination.
7. Delivery & Risk
7.1 Delivery dates are estimatesonly until in the distributors full control.
7.2 Risk in the Products transfersto the Trade Partner upon delivery or post-installation, whichever occursfirst.
7.3 The Trade Partner isresponsible for providing suitable access, offloading equipment, and safestorage on site.
7.4 Any damage or shortages mustbe reported in writing within 48 hours of delivery, supported by photographs.
8. Installation & Use
8.2 Installation must be carriedout by competent professionals in accordance with our installation guidelines. Suitabletraining on the install of our pergolas can be arranged.
8.3 We accept no liability forfailures arising from incorrect installation, inadequate foundations, incorrectdrainage, or non-compliance with building regulations.
9. Structural Ratings &Compliance
9.1 Any stated wind, snow, or loadratings are based on standard EU/UK test conditions and correct installation.
9.2 It is the Trade Partner’sresponsibility to ensure suitability for the intended location, includingexposure, altitude, and local conditions.
9.3 Planning permission, buildingcontrol approval, and compliance with local regulations remain theresponsibility of the Trade Partner and/or end customer.
10. Warranty
10.1 Products are supplied with amanufacturer-backed warranty, details of which are provided upon request ororder confirmation.

11. Returns & Claims
11.1 Bespoke Products are noteligible for return.
11.2 Any defect claims must besubmitted in writing within 7 days of discovery.
11.3 Our liability is limited torepair or replacement of the affected component only.
12. Intellectual Property &Marketing
12.1 All drawings, renders,specifications, images, and marketing materials remain our intellectualproperty unless agreed otherwise.
12.2 Trade Partners may useapproved materials for marketing purposes only and must not imply exclusivitywithout written agreement.
12.3 Our brand names, productnames, and imagery must not be used in a misleading or unauthorised manner.
13. Limitation of Liability
13.1 We shall not be liable forindirect, consequential, or economic losses including loss of profit,reputation, or business.
13.2 Our total liability under anyorder shall not exceed the value of the Products supplied under that order.

15.1 These Terms are governed byand construed in accordance with the laws of England and Wales.
15.2 Any disputes shall be subjectto the exclusive jurisdiction of the courts of England and Wales.
